Please read these terms carefully before creating an account or placing bids on Sneaky Pete's Bins & Auctions. By using our platform, you agree to be bound by these terms.

1Acceptance of Terms

These Terms and Conditions (the "Terms") apply to MET Liquidation LLC, a Michigan limited liability company that operates the website at shopsneakypetes.com (the "Site") and does business under the trade name (d/b/a) "Sneaky Pete's Bins & Auctions" (collectively referred to as "Sneaky Pete's," "we," "us," or "our"). Our principal place of business is 69651 US Hwy 131, White Pigeon, MI 49099. By creating an account, placing a bid, making a purchase, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services. Geographic Scope: We are a Michigan-based business with a single physical location. All purchases — including auction wins, Buy Now items, and bin store sales — require in-person pickup at our White Pigeon, MI store. We do not ship items. While our website is publicly accessible, our services are practically limited to customers who can physically visit our store, typically those located in Michigan, Indiana, Ohio, Illinois, and surrounding regions. These Terms incorporate our Privacy Policy (available at /privacy), which describes how we collect, use, and protect your personal information. Please review the Privacy Policy as part of these Terms. These Terms include a binding arbitration agreement and class-action waiver in Section 18. Please read those sections carefully — they affect how legal disputes between us are resolved.

2Eligibility

You must be at least 18 years old and legally able to form a binding contract under Michigan law to register for an account, place bids, or make purchases on our Site. By using our services, you represent and warrant that you meet these requirements. We do not knowingly collect personal information from anyone under the age of 13. If we discover that we have collected information from a child under 13, we will delete it promptly. If you believe we may have information from a child under 13, please contact us. Our services are intended for users physically located in the United States. We do not currently ship items — all purchases must be picked up in person at our White Pigeon, MI location.

3Account Registration & Security

To bid on auctions or buy items online, you must create an account and provide accurate, current, and complete information, including your name, email address, phone number, and a valid payment card. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@shopsneakypetes.com if you suspect unauthorized access to your account. You may not (a) share your account with another person, (b) create multiple accounts to circumvent bidding limits or account holds, or (c) impersonate any person or entity. We reserve the right to refuse, suspend, or terminate any account at our discretion.

4Auction Rules

Proxy Bidding (Autobid): We use a proxy bidding system. When you place a bid, you enter the maximum amount you are willing to pay. The system will automatically bid on your behalf in $1 increments to keep you as the leading bidder, up to (but not exceeding) your maximum. Opening Bid: $2. Minimum Bid Increment: $1. Popcorn / Soft Close: To prevent last-second sniping, if a bid is placed within the final 2.5 minutes of an auction, the timer resets to 2.5 minutes. This continues each time a new bid is placed within the soft-close window. The auction closes when no new bids are received during the soft-close period. Bid Retraction: All bids are binding the moment they are placed. You may request a retraction within 1 hour of placing a bid if you made an obvious error (e.g., a typo). Retraction requests are granted only at our sole discretion and are not honored within the final 24 hours of an auction. Cancellation of Bids or Auctions: We reserve the right to cancel any bid, withdraw any item, or end any auction early at our sole discretion — including in cases of suspected fraud, technical error, or other operational reasons. Operational details (opening bid, increment, soft-close window) may change from time to time. The values listed above were current as of the effective date.

5Buyer's Premium, Listing Fee & Sales Tax

Buyer's Premium: A 12% buyer's premium is added to the winning bid of every auction item. The buyer's premium is part of your total purchase price. Founding Member Discount: Eligible Founding Members receive a 0% buyer's premium on their first three (3) auction wins, used within thirty (30) days of either claiming their account OR Sneaky Pete's first live auction launch — whichever is later. After three wins have been used or the 30-day window expires (whichever comes first), the standard 12% buyer's premium applies to all subsequent wins. The discount is applied automatically at checkout — no code or claim form is required. Founding Member eligibility is limited to customers whose accounts were created on or before the program cutoff date set by Sneaky Pete's; once the cutoff date passes, no new Founding Members are admitted. Listing Fee: A $1 listing fee is added to each auction item won. This fee is part of your total purchase price. Michigan Sales Tax: All purchases (auction items, Buy Now items, and bin store sales) are subject to Michigan sales tax at the rate of 6%, applied to the total sales price including the buyer's premium and listing fee, in accordance with Michigan Department of Treasury Revenue Administrative Bulletin 2002-15. The total you pay at checkout = hammer price + buyer's premium (12%, or 0% if a Founding Member discount applies) + listing fee ($1) + Michigan sales tax (6% of the subtotal).

6Payment Authorization & Card on File

Card Required to Bid: You must have a valid payment card on file before you can place bids. Card data is stored and processed by our payment provider, Square — we do not store full card numbers on our servers. Authorization to Charge: By placing a bid, you authorize Sneaky Pete's to charge your card on file for the full amount due (hammer price + buyer's premium + listing fee + applicable sales tax) if you win the auction. Charges are processed automatically when the auction closes. Failed Charges: If your card on file is declined, we will mark the order as pending payment and attempt to contact you. You remain responsible for the full amount. Repeated failed charges may result in an account hold (see Section 14). Chargebacks: Filing a chargeback for a legitimate auction win in which the item was delivered and the warranty period has expired is a breach of these Terms and may result in account suspension, debt collection, and reimbursement obligations including reasonable attorney's fees.

7Pickup, Forfeiture & Liquidated Damages

Pickup Deadline: Each won auction item must be picked up within 7 business days of the auction ending. Walk-ins are welcome during business hours. You may also schedule a pickup appointment through your account dashboard. Business Hours: • Monday – Saturday: 10:00am – 5:00pm • Sunday: 11:00am – 4:00pm • Thursday: Bins closed for restock; store open for auction pickups. Appointment Limitations: Scheduling a pickup appointment does not extend the 7 business day pickup window. Appointments scheduled beyond the deadline are accommodations and do not waive our forfeiture rights. Forfeiture for Non-Pickup: If you fail to pick up your item(s) within the 7 business day window, the item(s) may be forfeited and re-listed for sale. You acknowledge that the actual damages caused by non-pickup (storage, re-listing, administrative cost, lost shelf space) are difficult to ascertain and that the amounts you paid serve as reasonable liquidated damages for those losses. By bidding, you agree that retention of paid amounts in cases of non-pickup is a reasonable forecast of damages and not a penalty. Outstanding Balances: If you have any unpaid items or fees on your account, you must resolve the balance before picking up any items — including items already paid for.

8Warranty, Returns & Sale-Is-Final Items

Condition Ratings & Disclosure: Every item we list is rated 1 to 5 stars and is assigned a top-level condition tier (New, Open Box, Used - Excellent, Used - Good, or For Parts / Salvage). The rating is computed from a six-dimension assessment (functional status, physical condition, completeness, packaging, assembly, and cleanliness). The full system is explained on our Condition Guide at /condition-guide. The star rating, top-level condition, descriptor selections, listing photos, and any lister's condition notes together constitute our disclosure of the item's condition. It is your responsibility to review all of this information before bidding. A 4★ rating means the item has at least one minor consideration; a 2-3★ rating means the item has disclosed issues; a 1★ rating means the item is sold "AS-IS / FOR PARTS" with significant issues. 7-Day Return Window: We offer a limited 7-day return/warranty period beginning on the calendar day you pick up the item. The window ends at close of business on the 7th calendar day. The warranty covers items that are (a) materially different from the listing description (including the star rating, top-level condition, and descriptor selections), or (b) non-functional where functionality was advertised. The warranty does NOT cover: • Cosmetic damage already disclosed or visible in listing photos • Damage caused after pickup (transport, handling, use, alteration) • Items missing parts where the listing disclosed the missing parts • Buyer's remorse, change of mind, or fit/preference issues • Items where the buyer waited longer than 7 days from pickup to bring the item in for inspection • Items previously denied — once a refund request is denied, the denial is final and the same item cannot be re-submitted Once an item has been picked up, handled, transported, or altered by you, it is considered accepted and any resulting damage is your responsibility. How to File a Warranty Claim: Log in to your account, go to Dashboard → Returns, select the eligible order, choose a reason, and submit the request. You will receive an email and SMS (per your notification preferences) confirming the submission along with the deadline by which you must bring the item to the store for inspection. In-Person Inspection Required: All refund requests are reviewed in person at our 69651 US Hwy 131 location. You must bring the item — together with all original packaging, parts, and accessories — to the store within the 7-day return window. The 7-day window begins on the calendar day you pick up the item and ENDS AT CLOSE OF BUSINESS ON THE 7TH DAY. We do not perform off-site or photo-only reviews; if the item is not inspected at the counter within the window, the request will be denied. Decision at the Counter: A staff member will inspect the item against the listing description, condition tier, and disclosed details. The staff member will then approve or deny the request and will provide a stated reason on either decision. Approved refunds are processed back to the original payment method immediately upon approval; you may see the funds settle within 5–10 business days depending on your card issuer or bank. Denial Is Final: If your refund request is denied, the denial is final for that item. The same item cannot be re-submitted for refund under any circumstances, even if you later present additional information, photos, or repair estimates. This rule exists to prevent repeat litigation of inspected items and to keep the refund queue clear for genuinely eligible items. If you believe the denial was made in error, you may contact us in writing to request a courtesy review, but we are under no obligation to overturn the original decision. "Sale Is Final" Items: Certain listings may be individually marked "SALE IS FINAL." These items — typically those with disclosed defects, missing parts, or damaged packaging — carry NO WARRANTY and cannot be returned under any circumstances. The "Sale Is Final" designation will be clearly displayed on the item listing before you bid. By bidding on a "Sale Is Final" item, you waive any warranty rights for that item. Bin Store Sales: All sales of merchandise from the physical bin store at our White Pigeon location are final at point of sale. No returns, exchanges, or refunds. Customers are encouraged to use the in-store testing area to verify items before checkout. See Section 10 for additional bin store rules. Refund Method: Approved refunds are processed back to the original payment method. We do not issue cash refunds for online purchases.

9AS-IS Disclaimer & No Warranties

IMPORTANT — PLEASE READ CAREFULLY: ALL ITEMS SOLD BY SNEAKY PETE'S BINS & AUCTIONS ARE SOLD "AS IS" AND "WITH ALL FAULTS." OTHER THAN THE LIMITED 7-DAY WARRANTY DESCRIBED IN SECTION 8, SNEAKY PETE'S MAKES NO OTHER EXPRESS WARRANTIES. ITEMS COVERED BY THE 7-DAY LIMITED WARRANTY: ANY IMPLIED WARRANTIES THAT WOULD OTHERWISE APPLY UNDER LAW — INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE — ARE LIMITED IN DURATION TO THE 7-DAY PERIOD OF OUR LIMITED WARRANTY (BEGINNING ON THE CALENDAR DAY OF PICKUP AND ENDING AT CLOSE OF BUSINESS ON THE 7TH DAY). SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THIS LIMITATION MAY NOT APPLY TO YOU. "SALE IS FINAL" ITEMS AND BIN STORE SALES: FOR ITEMS MARKED "SALE IS FINAL" AND FOR ALL MERCHANDISE SOLD FROM THE PHYSICAL BIN STORE, WHICH ARE NOT COVERED BY ANY WRITTEN WARRANTY, SNEAKY PETE'S EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUCH ITEMS ARE SOLD STRICTLY "AS IS" AND "WITH ALL FAULTS." ITEMS SOLD ARE PRIMARILY CUSTOMER RETURNS, OVERSTOCK, AND LIQUIDATED INVENTORY FROM MAJOR RETAILERS. ITEMS MAY BE NEW, OPEN-BOX, USED, OR HAVE COSMETIC OR FUNCTIONAL DEFECTS. PHOTOS, DESCRIPTIONS, OUR STAR RATING, AND ASSIGNED CONDITION TIER ARE PROVIDED IN GOOD FAITH BUT MINOR DISCREPANCIES MAY EXIST. YOU ASSUME ALL RISK OF QUALITY, SUITABILITY, AND PERFORMANCE OF ITEMS PURCHASED. SEE OUR CONDITION GUIDE AT /CONDITION-GUIDE FOR A FULL EXPLANATION OF HOW WE RATE ITEMS. NO ORAL OR WRITTEN ADVICE OR INFORMATION GIVEN BY SNEAKY PETE'S OR ITS STAFF SHALL CREATE A WARRANTY OR IN ANY WAY EXPAND THE SCOPE OF THIS DISCLAIMER. This disclaimer is intended to comply with the Magnuson-Moss Warranty Act (15 U.S.C. §§ 2301–2312) and Michigan Uniform Commercial Code § 440.2316.

10Bin Store Rules

Our physical bin store at 69651 US Hwy 131 is a treasure-hunt retail experience with daily flat-rate pricing. The following rules apply to all in-store bin customers: Pricing Cycle: Friday $7 per item; Saturday $5; Sunday $3; Monday $2; Tuesday $1; Wednesday $20 fill-a-bag. The bins are closed Thursday for restock. The store remains open Thursday for auction pickups. Posted Rules: Additional rules may be posted in-store and are deemed part of these Terms. Examples include but are not limited to: no outside bags or large containers (loss prevention), no strollers in bin aisles (safety), no children unattended, no re-entering bins after checkout, no holding spots in restock-day lines. All Bin Sales Final: No returns, exchanges, or refunds on bin store merchandise. Customers should use the in-store testing area to verify items before checkout. Behavior: Customers who are rude, abusive, threatening, or who attempt theft (including swapping items, removing parts, or tampering with merchandise) may be removed from the premises and trespassed. Theft will be reported to law enforcement. By entering the store, you accept these rules and assume the ordinary risks of a retail environment, including the risks of digging through bins (sharp edges, heavy items, etc.).

11Consignment Intake & User-Submitted Content

Sneaky Pete's accepts consignment items at our discretion. If you submit a consignment inquiry through our "Sell With Us" page or otherwise approach us about consigning items, the following apply: Title Warranty: By submitting items for consignment, you represent that you own the items free and clear of any liens, security interests, or third-party claims, and that the items are not stolen, counterfeit, recalled, or subject to any product safety prohibition. Prohibited Items: We do not accept firearms, ammunition, regulated weapons, illegal items, items subject to product recalls, counterfeit goods, hazardous materials, or items in violation of intellectual property rights. Separate Agreement: Specific consignment terms — including commission split, listing duration, unsold item disposition, and payment timing — will be set out in a written consignment agreement at the time items are accepted. The submission of an inquiry through our website does not constitute a binding consignment agreement. Tax Responsibility: You are responsible for reporting any income from consignment sales to the IRS and Michigan Department of Treasury as applicable. User-Submitted Content (Photos, Descriptions, Reviews): When you submit photos, item descriptions, reviews, or any other content to us — whether through the consignment intake form, customer-service interactions, or otherwise ("User Content") — you represent and warrant that (a) you own or have all rights necessary to submit the User Content, and (b) the User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights. Content License to Sneaky Pete's: You grant Sneaky Pete's a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, modify, distribute, publicly display, and create derivative works of your User Content for the purpose of operating, promoting, and improving our services — including but not limited to displaying photos on item listings, using your descriptions for catalog purposes, and referencing your User Content in marketing materials. You retain ownership of your User Content. Removal of User Content: We reserve the right (but have no obligation) to review, edit, or remove any User Content at our sole discretion, including content that violates these Terms, infringes third-party rights, or that we determine is inappropriate for our services. Section 230 Notice: Sneaky Pete's is an interactive computer service under 47 U.S.C. § 230. We do not endorse User Content submitted by consignors or other users, and we are not responsible for the accuracy or reliability of such content.

12Prohibited Conduct

You agree not to engage in any of the following while using our services: • Shill Bidding: Sneaky Pete's owners, employees, family members of either, and any other coordinated bidders are prohibited from bidding on Sneaky Pete's own auctions to artificially inflate prices. Customers who participate in coordinated bidding schemes or who have undisclosed relationships with the auctioneer may have their bids canceled and accounts banned. • Fraud: Including but not limited to using stolen payment cards, impersonating others, providing false information, or filing fraudulent chargebacks. • Bid Manipulation: Including bidding without intent to pay, creating multiple accounts to bid on the same item, or coordinating with others to suppress competitive bidding. • Theft or Tampering: Including swapping items in bins, removing parts from items, or tampering with merchandise — whether online or in-store. • Abuse of Staff or Other Customers: Including threats, intimidation, harassment, or use of slurs. • Reverse-engineering, scraping, or automating access to the Site without our prior written consent. • Using the Site to transmit malicious code, spam, or unlawful content. Violation of this section may result in immediate account suspension or termination, cancellation of pending bids, and referral to law enforcement.

13Communications — Email & SMS Consent

Transactional Communications: By creating an account, you consent to receive transactional emails and text messages from us related to your account and activity, including: outbid alerts, win notifications, payment confirmations, pickup reminders, appointment reminders, and account or order updates. These messages are necessary for the operation of your account. SMS / Text Messaging (Separate Consent Required): To receive SMS notifications, you must separately opt in on our Communication Preferences page (/dashboard/preferences). SMS messages are sent on behalf of Sneaky Pete's Bins & Auctions and each message begins with our brand identifier "Sneaky Pete's:". By opting in, you consent to receive SMS messages at the phone number you provide. Message frequency varies based on your activity. Message and data rates may apply. Reply STOP, STOPALL, UNSUBSCRIBE, OPTOUT, CANCEL, END, REVOKE, or QUIT to opt out, or HELP for help. Consent to receive SMS is not a condition of any purchase. We use Twilio (or another qualified provider) to deliver SMS. For our complete SMS disclosure — including how we handle opt-in records and our no-third-party-sharing commitment — see Section 5 of our Privacy Policy at /privacy. Marketing Communications: We may send promotional emails or SMS only with your separate consent. You may opt out of marketing communications at any time using the unsubscribe link in any marketing email or by adjusting your preferences in your account. Opting out of marketing does not opt you out of transactional messages necessary for your account. CAN-SPAM Compliance: All marketing emails include an unsubscribe link and our physical postal address. Transactional emails are exempt from the unsubscribe requirement under the CAN-SPAM Act. Email Whitelist: To ensure delivery of important account emails, please add info@shopsneakypetes.com to your email contacts or whitelist.

14Account Holds, Suspension & Termination

We may place a hold on, suspend, or terminate your account at our sole discretion, including for any of the following: • Non-payment of won items or outstanding balances • Failure to pick up items within the 7 business day window • Multiple missed pickup appointments • Violation of Section 13 (Prohibited Conduct) • Chargebacks filed on legitimate purchases • Reasonable suspicion of fraud, identity theft, or unauthorized account use • Repeated bid retractions or other patterns suggesting bidding without intent to pay • Court order or legal process Effect of Account Hold: While on hold, you may not place new bids and may be required to pay outstanding balances before picking up any paid items. Notice & Cure: For non-payment holds, we will attempt to contact you and provide a reasonable opportunity to cure before permanent termination. No notice is required for fraud, theft, abuse, or other serious violations. Effect of Termination: Upon termination, your right to access the Site ceases immediately. Any outstanding balances remain due. Sections that by their nature should survive termination (including payment obligations, warranty disclaimers, limitation of liability, indemnification, and arbitration) will survive.

15Intellectual Property & DMCA

Our Content: The Site, including its design, logos, text, graphics, and software, is owned by Sneaky Pete's or its licensors and is protected by U.S. copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. Product Images: Some product images, descriptions, and specifications come from manufacturers or retailers and remain the property of those parties. We display them for product identification purposes only. DMCA Notice: If you believe content on our Site infringes your copyright, send a DMCA takedown notice to our designated agent (registered with the U.S. Copyright Office): Email: info@shopsneakypetes.com (use subject line "DMCA Notice") Mail: MET Liquidation LLC, d/b/a Sneaky Pete's Bins & Auctions, Attn: DMCA Agent, 69651 US Hwy 131, White Pigeon, MI 49099 Your notice must include all elements required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work, identification of the infringing material, your contact information, a good-faith statement, and a statement under penalty of perjury that you are the owner or authorized to act on the owner's behalf. Repeat Infringers: We will terminate accounts of users determined to be repeat infringers.

16Indemnification

You agree to defend, indemnify, and hold harmless Sneaky Pete's Bins & Auctions, its owners, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: • Your breach of these Terms; • Your violation of any law or the rights of any third party; • Your misuse of items after pickup, including transport, handling, modification, or resale; • Content or items you submit through the consignment process, including any claim that such items infringe third-party rights or are stolen, counterfeit, or recalled; • Chargebacks filed in bad faith on legitimate transactions. We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of these claims.

17Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: IN NO EVENT WILL SNEAKY PETE'S BINS & AUCTIONS, ITS OWNERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOST GOODWILL, OR PERSONAL INJURY — ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, THE FOREGOING LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. This Limitation of Liability section does NOT limit liability for: (i) personal injury caused by our gross negligence or willful misconduct on our premises, (ii) any liability that cannot be limited under applicable law.

18Dispute Resolution, Arbitration & Class Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Informal Resolution First: Before filing any formal proceeding, you agree to attempt to resolve the dispute informally by contacting us at info@shopsneakypetes.com with a written description of the dispute and your desired resolution. We will respond within 30 days. If the dispute is not resolved within 60 days, either party may proceed to arbitration. Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or our services that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in St. Joseph County, Michigan, or by remote/video hearing at the arbitrator's discretion. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Carve-Outs: This arbitration agreement does NOT apply to: (i) claims that can be brought in small-claims court for amounts within the small-claims jurisdiction; (ii) claims for injunctive or equitable relief to protect intellectual property; (iii) claims of theft, fraud, or criminal misconduct. Class Action Waiver: YOU AND SNEAKY PETE'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. 30-Day Opt-Out: You may opt out of this arbitration agreement by emailing info@shopsneakypetes.com with the subject line "Arbitration Opt-Out" within 30 days of creating your account. Your email must include your full name and account email address. Opting out will not affect any other provision of these Terms. If any portion of this Section is held to be unenforceable, the remaining portions remain in effect.

19Governing Law & Venue

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles. Subject to the arbitration provisions in Section 18, any legal action or proceeding arising out of or relating to these Terms or our services must be brought exclusively in the state or federal courts located in St. Joseph County, Michigan, or the U.S. District Court for the Western District of Michigan. You consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. For Material Changes: We will provide at least 30 days' advance notice by email to your account address or by prominent notice on the Site. Material changes may also require renewed click-through acceptance the next time you log in. If you do not agree to the material changes, you may close your account before the effective date. For Non-Material Changes: Such as clarifications, typo corrections, or updates to contact information, we may make changes immediately and the updated Terms take effect on posting. Your continued use of our services after the effective date of any change constitutes acceptance of the revised Terms.

21Miscellaneous

Force Majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to natural disasters, severe weather, internet or service-provider outages (including but not limited to Square, Supabase, Twilio, Resend, Vercel), power failures, governmental orders, labor actions, or acts of war or terrorism. During such events, in-progress auctions may be paused, extended, or canceled at our discretion. Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later. Assignment: We may assign these Terms to a successor entity or in connection with a sale or transfer of our business. You may not assign your rights or obligations under these Terms without our prior written consent. Entire Agreement: These Terms, together with any policies or agreements referenced herein (including written consignment agreements, posted in-store rules, and our Privacy Policy at /privacy), constitute the entire agreement between you and Sneaky Pete's regarding our services and supersede any prior agreements or understandings. Notices: We may provide legal notice to you by email at the address on file or by posting notice on the Site. You may provide legal notice to us at the address in Section 22. Survival: Sections that by their nature should survive termination — including payment obligations, warranty disclaimers, AS-IS disclaimer, limitation of liability, indemnification, dispute resolution, and governing law — will survive termination of these Terms or your account. Headings: Section headings are for convenience only and do not affect interpretation.
